These Terms & Conditions (“Terms”) govern all services provided by ZXNOVA Enterprise (“ZXNOVA”, “we”, “us”) to any client (“Client”, “you”). By engaging our services, approving a proposal, or making any payment, you agree to be bound by these Terms.
A project formally begins only after (a) written approval of the proposal or quotation, and (b) receipt of the advance payment described in Section 3.
Our Services
ZXNOVA provides digital services including, but not limited to: business website development, e-commerce development (Shopify & WooCommerce), application development, custom software and portals, branding & identity design, digital marketing, SEO, video production, and e-commerce management.
The exact scope, deliverables, and timeline of your project are defined in your written proposal or quotation. Anything not explicitly listed in the proposal is considered outside the scope and may be quoted separately.

For larger projects, payments may be split across agreed milestones as stated in your proposal.
- 50% advance of the total project value is payable before any work commences. The project is scheduled and started only after the advance is received.
- The remaining 50% is payable upon project completion, before the final website, files, code, or credentials are transferred or the site is made live.
- The advance payment is non-refundable once work has begun, as it covers strategy, design, and development time already invested.
- All prices are quoted in Indian Rupees (INR) unless stated otherwise, and are exclusive of applicable taxes (e.g. GST), which will be added where applicable.
- Invoices are payable within 7 days of issue. Work may be paused on overdue accounts, and paused projects may lose their production slot.
- Third-party costs — domains, hosting, premium plugins/themes, Shopify subscriptions, ad spend, stock assets — are billed separately and payable directly by the Client unless included in the proposal.
- Ongoing services (maintenance, marketing, management) are billed monthly in advance.
Project Timelines & Client Responsibilities
Timelines stated in the proposal begin from the date the advance payment and all required materials are received. To keep your project on schedule, the Client agrees to:
- Provide all required content, images, logos, credentials, and access within the agreed timeframe.
- Provide consolidated feedback within 3–5 working days of each review request.
- Appoint one primary point of contact authorised to approve deliverables.
Delays in Client feedback or materials extend the timeline accordingly and are not grounds for refund or penalty against ZXNOVA. Projects inactive for more than 30 days due to Client non-response may be closed, with completed work billed proportionately.
Revisions & Scope Changes
- Each design phase includes the number of revision rounds stated in your proposal (typically two rounds per phase).
- Additional revisions beyond the included rounds are quoted and approved in writing before work is done.
- Requests that change the agreed scope — new pages, new features, new platforms — are treated as change requests and quoted separately. No surprise invoices: you approve every change in writing first.
Cancellation & Refunds
- If the Client cancels before work has started, the advance is refundable minus any payment-processing charges.
- If the Client cancels after work has begun, the advance is non-refundable. Where completed work exceeds the value of the advance, the balance for work completed becomes payable.
- ZXNOVA may terminate a project in cases of non-payment, abusive conduct, or requests for unlawful content; completed work will be billed proportionately.
- No refunds are provided for completed and delivered work, or for ongoing services already rendered.
Intellectual Property
- Full ownership of the final deliverables (design, code, brand assets) transfers to the Client only upon receipt of full and final payment. Until then, all work remains the property of ZXNOVA.
- The Client warrants that all materials supplied to us (text, images, logos, videos) are owned or licensed by the Client, and indemnifies ZXNOVA against third-party claims arising from such materials.
- ZXNOVA retains the right to display completed work in its portfolio, website, and marketing, and to place a discreet credit link in the website footer, unless otherwise agreed in writing.
- Pre-existing tools, frameworks, and libraries used by ZXNOVA remain under their respective licences.
Third-Party Services
Websites and applications depend on third-party services — hosting providers, domain registrars, Shopify, WordPress, plugins, payment gateways, APIs, and advertising platforms. ZXNOVA is not responsible for outages, pricing changes, policy changes, or discontinuation of any third-party service. Fees for such services are the Client’s responsibility unless expressly included in the proposal.
Support & Warranty
- Every project includes a post-launch support window (as stated in your proposal) covering bug fixes and technical corrections related to the delivered work — free of charge.
- The support window does not cover new features, content updates, third-party plugin conflicts, hosting issues, or damage caused by Client-side changes.
- Ongoing maintenance and growth plans are available separately and billed monthly.
Limitation of Liability
ZXNOVA delivers work with professional skill and care. However, we do not guarantee specific business outcomes — including sales figures, search rankings, ad performance, or traffic numbers — as these depend on factors beyond our control.
To the maximum extent permitted by law, ZXNOVA’s total liability for any claim arising from a project shall not exceed the total fees actually paid by the Client for that project. ZXNOVA shall not be liable for indirect, incidental, or consequential losses, including loss of profit, data, or business opportunity.
Confidentiality
Both parties agree to keep confidential all non-public information shared during the project — including business plans, credentials, pricing, and strategy — and to use it solely for the purpose of the project. This obligation survives project completion.
Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gujarat, India. Both parties agree to attempt good-faith resolution through direct discussion before initiating any legal proceedings.
ZXNOVA may update these Terms from time to time; the version published on this page at the time of your project approval applies to your engagement.
